Terms of Service

Effective Date: March 2026

These Terms of Service ("Terms") govern your use of the Emes-K mobile application (the "App") developed and operated by AI Visionary Group ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. AI Disclaimer — Important Notice

• The App's analysis is based on AI interpretation of ingredient lists and publicly available kosher certification databases. AI can and does make mistakes.
• Results should be treated as informational guidance only, not as definitive kosher certification or halachic ruling.
• We strongly encourage users to consult with a qualified rabbi or recognized kashrus authority for definitive kosher determinations, especially for products with ambiguous or uncertain results.
• We are not liable for any dietary decisions made based on the App's analysis. You use the App's results at your own risk and discretion.
• The App does not account for all halachic considerations, including but not limited to: bishul yisrael, pas yisrael, cholov yisrael, equipment kashering, or production line considerations that may affect a product's kosher status.

2. Eligibility

You must be at least 13 years of age to use the App. By using the App, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have your parent or guardian's permission to use the App.

3. Subscriptions and Payments

3.1 Free Tier

The App offers 5 free ingredient scans to all new users. After your free scans are used, a subscription is required to continue scanning.

3.2 Subscription Plans

Emes-K offers the following auto-renewable subscription plans:

• Monthly: $1.99 per month
• Yearly: $14.99 per year ($1.25/month equivalent)

Pricing may change with reasonable notice. Any price changes will take effect at the start of your next billing period after the change is announced.

3.3 Billing

All subscriptions are billed through Apple via the App Store. Payment is charged to your Apple ID account at confirmation of purchase. Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period.

3.4 Cancellation

You may cancel your subscription at any time through your iOS device: Settings → [Your Name] → Subscriptions. Cancellation takes effect at the end of the current billing period. You will continue to have access to premium features until the end of your paid period. No refunds are provided for partial billing periods.

3.5 Refunds

Since subscriptions are managed by Apple, all refund requests must be submitted through Apple. We do not process refunds directly. Visit reportaproblem.apple.com to request a refund from Apple.

4. Fair Use and Service Limits

4.1 Personal Use Only

The App and its subscription plans are intended for personal, non-commercial use by individual consumers. "Unlimited scans" refers to reasonable personal use as described below.

4.2 Fair Use Guidelines

Our current fair use guidelines for personal subscribers are:

• Up to 15 scans per day
• Up to 100 scans per calendar month

These limits are designed to accommodate normal personal grocery shopping while ensuring the sustainability of the service for all users. Limits are subject to change at any time at our sole discretion, with or without prior notice. We may adjust these thresholds based on service capacity, operating costs, and overall usage patterns.

4.3 Enterprise and Commercial Use

If you require higher usage limits, commercial access, or wish to integrate Emes-K's analysis capabilities into your own products, services, or business operations, you must obtain a separate enterprise license. Personal subscription plans may not be used for commercial, institutional, or organizational purposes.

4.4 Prohibited Uses

You may not use the App for:

• Automated, scripted, or programmatic scanning
• Commercial purposes, including reselling scan results or data
• Building competing products or services using our analysis
• Systematically scanning entire store inventories for commercial gain
• Any use that places an unreasonable burden on our servers or infrastructure
• Circumventing subscription requirements or fair use limits
• Reverse engineering, decompiling, or disassembling the App

4.5 Enforcement and Right to Limit

We reserve the right, at our sole discretion and without liability, to:

• Define, modify, and enforce usage limits at any time, with or without notice
• Throttle, suspend, or terminate access for excessive, abusive, or abnormal usage
• Modify the definition of "unlimited" at any time
• Set, adjust, or remove daily, monthly, or per-session scan limits
• Restrict or discontinue any feature, functionality, or aspect of the service
• Require written consent for commercial or bulk use

The term "unlimited" as used in marketing materials and the App refers to the absence of a hard per-scan fee — it does not guarantee unrestricted volume. All usage remains subject to the fair use guidelines and limits described in this section, which may be updated at any time.

5. Intellectual Property

The App, including its design, code, features, content, trademarks, and trade dress, is owned by AI Visionary Group and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal purposes in accordance with these Terms.

You may not:

• Copy, modify, or distribute the App or any part of it
• Use our trademarks, logos, or brand elements without written permission
• Create derivative works based on the App
• Remove or alter any copyright, trademark, or proprietary notices

6. Accuracy and Limitations

While we strive to provide accurate ingredient analysis, the App has inherent limitations:

• AI analysis depends on the quality and legibility of the ingredient photo you provide
• Barcode lookups depend on data availability in third-party food product and kosher certification databases
• Product formulations change over time; a previously scanned result may not reflect current ingredients
• The App cannot verify manufacturing processes, equipment kashering, or cross-contamination risks
• Some ingredients may have ambiguous kosher status depending on their source, which the App may not always resolve correctly

7. Service Availability

We strive to maintain the App's availability but do not guarantee uninterrupted service. The App requires an internet connection for scanning functionality. We reserve the right to:

• Perform scheduled and unscheduled maintenance
• Modify, update, or discontinue features with or without notice
• Temporarily or permanently discontinue the service

In the event we permanently discontinue the service, we will provide reasonable notice and honor existing subscription periods.

8. Termination

We may terminate or suspend your access to the App at any time, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination:

• Your right to use the App immediately ceases
• Any data stored locally on your device remains under your control
• Active subscriptions may be canceled (refund requests should be directed to Apple)

You may terminate your use of the App at any time by uninstalling it and canceling any active subscriptions.

9. Limitation of Liability

• Loss of profits, data, or goodwill
• Dietary decisions based on the App's analysis
• Health consequences resulting from consuming products scanned by the App
• Inaccurate, incomplete, or misleading AI-generated results
• Service interruptions or data loss
• Unauthorized access to or alteration of your transmissions

In no event shall our total liability to you exceed the amount you paid to us (through Apple) in the twelve (12) months preceding the event giving rise to the liability. The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

10. Disclaimer of Warranties

The App is provided "as is" and "as available" without any warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that:

• The App will meet your specific requirements
• The App will be uninterrupted, timely, secure, or error-free
• The results from the App will be accurate, reliable, or complete
• Any errors in the App will be corrected

11. Indemnification

You agree to indemnify, defend, and hold harmless AI Visionary Group, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the App or your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in New York, New York.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will update the "Effective Date" at the top of this page and may notify you through the App. Your continued use of the App after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the changes, you should discontinue use of the App.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. End User License Agreement (EULA)

This section serves as the End User License Agreement between you and AI Visionary Group for the Emes-K application.

15.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any Apple-branded device that you own or control, as permitted by the Apple App Store Terms of Service.

15.2 Scope of License

This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute, or sublicense the App.

15.3 Apple as Third-Party Beneficiary

You acknowledge that these Terms are between you and AI Visionary Group only, and not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content. However, Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you.

15.4 Maintenance and Support

AI Visionary Group is solely responsible for providing maintenance and support services for the App, as specified in these Terms or as required under applicable law. Apple has no obligation to furnish any maintenance and support services with respect to the App.

15.5 Warranty

In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the App.

15.6 Product Claims

AI Visionary Group, not Apple, is responsible for addressing any claims relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

15.7 Intellectual Property Claims

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, AI Visionary Group, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

15.8 Export Compliance

You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

16. Entire Agreement

These Terms, including the End User License Agreement above, together with our Privacy Policy, constitute the entire agreement between you and AI Visionary Group regarding the use of the App and supersede any prior agreements.
